3. Platform Role and Limitations

Natelio, Inc. is a technology company, not a healthcare provider. We do not provide medical advice, diagnosis, treatment, or any clinical services.
Our platform serves solely as a communication and workflow tool for licensed dental professionals.
What We Do
- Verify dental practices - We review and verify that clinics joining the platform are legitimate, licensed dental practices before granting access
- Provide secure infrastructure - We maintain HIPAA-compliant technology for secure referral management
- Facilitate communication - We enable secure messaging and document sharing between verified practices
What We Do Not Do
- We do not provide medical or dental advice - All clinical decisions are made solely by the healthcare providers using our platform
- We do not recommend specific providers for referrals - Referring providers are responsible for selecting appropriate specialists for their patients
- We do not verify individual provider credentials within a practice - While we verify the dental practice itself, each clinic is responsible for verifying the specific credentials and qualifications of individual providers they choose to refer to
- We do not guarantee treatment outcomes - Treatment outcomes are the sole responsibility of the treating healthcare provider
- We are not a party to patient-provider relationships - The relationship is solely between the patient and their healthcare providers
4. Clinic and Provider Responsibilities
While Natelio verifies that dental practices on the platform are legitimate, licensed practices, each clinic and healthcare provider using our platform remains solely responsible for:
- Patient Care: All aspects of patient care, diagnosis, treatment planning, and clinical outcomes
- Referral Decisions: Determining the appropriateness of referrals and selecting qualified specialists from verified practices on the platform
- Individual Provider Verification: Verifying the specific credentials, licenses, and qualifications of individual providers within practices they choose to refer patients to
- Patient Consent: Obtaining appropriate patient consent for referrals and information sharing
- Regulatory Compliance: Compliance with all applicable healthcare laws, regulations, and professional standards
- Insurance and Billing: All billing, insurance claims, and financial arrangements with patients
- Malpractice Coverage: Maintaining appropriate professional liability insurance
- Staff Training: Ensuring staff members are properly trained on platform use and HIPAA requirements
- Data Accuracy: The accuracy and completeness of all patient information entered into the platform
5. Account Registration
To use our services, you must register for an account through an authorized administrator or by submitting an access request. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access
- Accept responsibility for all activities under your account
6. HIPAA Compliance
Our platform is designed to comply with the Health Insurance Portability and Accountability Act (HIPAA). As a user, you agree to:
- Use the platform only for legitimate healthcare purposes
- Protect patient information in accordance with HIPAA requirements
- Report any suspected security breaches immediately
- Complete required security training as applicable
Covered entities may be required to execute a Business Associate Agreement (BAA) with Natelio, Inc.
7. Acceptable Use
You agree not to:
- Use the services for any unlawful purpose
- Share your account credentials with unauthorized individuals
- Attempt to gain unauthorized access to any part of the platform
- Interfere with or disrupt the integrity or performance of the services
- Transmit any malware, viruses, or harmful code
- Use the platform to harass, abuse, or harm others
8. Data Ownership and Retention
You retain ownership of all patient data and content you submit to the platform. We maintain this data in accordance with HIPAA requirements and our data retention policies. Upon termination of your account, we will retain data as required by law and provide data export options upon request.
9. Service Availability
We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may temporarily suspend services for maintenance, updates, or security purposes with reasonable notice when possible.
10. Fees and Payment
Subscription fees are billed according to your selected plan. All fees are non-refundable unless otherwise specified. We reserve the right to modify pricing with 30 days' notice.
11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Natelio, Inc. does not warrant that:
- The platform will meet your specific requirements
- The platform will be uninterrupted, timely, secure, or error-free
- The results obtained from use of the platform will be accurate or reliable
- Any errors in the platform will be corrected
12. Limitation of Liability
To the maximum extent permitted by law:
- Natelio, Inc. shall not be liable for any clinical outcomes, patient injuries, misdiagnosis, treatment complications, or any other healthcare-related damages arising from use of the platform
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- We shall not be liable for any loss of data, revenue, profits, or business opportunities
- Our total aggregate liability shall not exceed the fees paid by you in the twelve months preceding the claim
These limitations apply regardless of the legal theory upon which damages may be claimed.
13. Indemnification
You agree to indemnify and hold harmless Natelio, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the services or violation of these Terms.
14. Termination
Either party may terminate this agreement with 30 days' written notice. We may suspend or terminate your access immediately for violations of these Terms. Upon termination, your access will be revoked, and data will be handled according to our retention policies.
15. Modifications to Terms
We may modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
16. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
